Susquehanna’s Pablo Zuanic and team note that Keurig’s business in K-cups has been slowing ever since it was bought by JAB, a problem that could be solved in a very convoluted way by a Mondelez International (MDLZ)-Kraft Heinz (KHC) merger. They explain:

Keurig��s plight (actually, JAB��s) is worsening, with the K-cup market slowing to almost no growth now, and Keurig continuing to lose own brands�� share. Starbucks (SBUX) echoed the notion of a K-cup market slowdown at its seminar on Wednesday (and is guiding for its [consumer packaged goods, or CPG,] growth below recent trends), but it expects to increase its share of total CPG coffee to 20% from 15%. Come early February it will be a year since the closing of the Keurig deal for JAB Holdings. The pressure on JAB is more significant if we take into account the high leverage of the deal (JAB contributed one fourth of the $12Bn price tag). It is a tough predicament. On the one hand we argue that to make that deal work, they need to buy more (��own��) brands either from the retail channel (that can be extended to CPG: Dunkin (DNKN)? Panera (PNRA)?), or outright buy CPG brands (like the entire Kraft Heinz portfolio, and or Tata Group��s Eight O��Clock brand). But can/how do they fund these deals? Maybe Mars and Warren Buffett (Mars is involved in office coffee with Starbucks), private equity, and or 3G can help? While this note is not about Positive-rated Mondelez, we have mentioned before a scenario where Kraft Heinz buys Mondelez and partly funds the deal by selling its own CPG coffee business (~$3Bn we say) to JAB as well as divests the Mondelez ��20% plus�� stakes in Keurig (North America) and Jacobs Douwe Egberts (Western Europe), which together at this stage are worth ~$7-8Bn. But, yes, JAB will need deep-pocket partners and generous lenders. Net, JAB needs to do something soon.

    Some reasons for my bearishness on retail stocks:

    Higher Energy Prices. Oil prices have rallied dramatically and back to 2014 levels, rising from about $35 a barrel in early 2016 to around $67 Thursday. That's bad news for U.S. retailers, as rising oil prices historically squeeze consumer disposable incomes. That's one reason why I've been consistently raising my short exposure to retail and plan to continue doing so. Shaky Same-Store Sales Growth. Recent improvements to same-store sales at Abercrombie & Fitch (ANF) , Urban Outfitters (URBN) , Dillard's (DDS) , Gap Inc. (GPS) and Macy's (M) come against downgraded expectations, and might not be sustainable anyway. No Deal for Nordstrom (JWN) . The Nordstrom family has apparently abandoned plans to take its namesake company private. I had expressed concerns that this would happen. Higher Interest Rates. A rise in the London Inter-Bank Offered Rate (LIBOR) has recently accelerated. That's bad news for retailers, as many variable-rate consumer debts (particularly mortgages) key off of the LIBOR. This will likely put a damper on mortgage refinancings -- something that many see as an important ingredient for personal-consumption expenditures.

Toys R Us mascot starts his second career

NEW BRUNSWICK, N.J.����Geoffrey the Giraffe, the 16-foot-tall fiberglass Toys R Us mascot, has made a move to a new home less than two weeks after the retailer's U.S. toy stores closed their doors.

At one point,�the future of Geoffrey �� about as tall as a real male giraffe �� was in doubt as the 70-year-old company filed for bankruptcy and liquidated operations, including its corporate headquarters in Wayne, New Jersey.�Because of Geoffrey's size and the cost associated with transportation and installation, the company struggled to find someone to buy him.

No one made a�bid.

As the June 30 deadline to clear out and clean up drew closer, the Toys R�Us liquidation adviser, Joseph Malfitano�of Boulder, Colorado, bought the giraffe and paid $10,000 to have Geoffrey packed and shipped the 50 miles here to Bristol-Meyers Squibb Children's Hospital at Robert Wood Johnson University Hospital. Malfitano thought a children's hospital would be�an appropriate home for the beloved mascot.

"That was no small commitment," said John Gantner, the university hospital's president and chief executive. "I couldn't fit�him in the back of my Ford F-150."

On Wednesday, Geoffrey had his official welcome with�jungle-themed music, cupcakes and kids.

Nervous about a procedure happening�later in the day, patient Michael Tiongson, 8, put aside his fears and happily participated in the festivities.

"He's excited now," said Michael's mom, Sherry Stein. "He was very nervous about getting his tonsils and adenoids out. This is a very good distraction."

Geoffrey's original name was "Dr. G. Raffe," so Gantner thought it was appropriate that the giraffe's new residence�was a hospital.

"In our children's hospital, Geoffrey will continue to stimulate the minds and hearts of our littlest patients and briefly replace their fears and apprehension with happy thoughts and some fun," he said.

Rosen, a lawyer at Lowenstein Sandler LLP,�did put a condition on his donation: He wants to be able to take a photograph of Geoffrey with his 2- and 5-year-old grandsons.

"I figured if I did this, I would be the coolest person in the world to them," Rosen said.

"What happened to Toys 'R' Us brought a lot of pain to a lot of people. This would bring a lot of happiness to a lot of people," he said. "When I heard about it, I thought it would be particularly nice for�the kids who come to the hospital with a lot of fears and when they see him, he could make them smile."
